Preparing a Claim Against a Foreign Counterparty

Preparing an international claim involves checking the contract, organising the evidence and calculating the loss. The forum, deadlines and prospects of enforcement also need to be considered.

Organising the claim

The starting file should include the signed contract and amendments, a dated account of events, the relevant correspondence and a calculation of the amount claimed. Identify missing records early. These materials allow counsel to assess the basis of the claim and whether negotiation or proceedings are appropriate.

What to include in the file

Separate the contractual obligation, the evidence of breach and the calculation of loss. Note any contractual notice requirements and approaching deadlines for legal review.

Contract

Obligation, governing law, forum and notice requirements.

Facts

A concise chronology tied to the legal position.

Evidence

Documents that prove performance, breach and communications.

Amount

A transparent calculation and supporting records.

Escalation

Delivery, negotiation, proceedings and enforcement.
